6. Intellectual Property Rights
- Ownership of Services: We retain full ownership of the Services, along with all associated intellectual property rights. Users are granted a limited, non-transferable, non-sublicensable, and non-exclusive license to access and use the Services, subject to these Terms and any applicable agreements between Thred and the User’s organization.
- Ownership of Customer Data: As between Thred and Users or their organizations, Users or their organizations retain ownership of all Customer Data. This ensures that you maintain control over your information while allowing us to provide our Services effectively.
- Feedback: If you send us any feedback or suggestions regarding the Services, you grant us permission to use such feedback to improve and enhance our Services.
7. Term and Termination
- Term: These Terms take effect on the Effective Date and will remain in force as long as you continue to access or use our Services, unless otherwise specified in a separate agreement between Thred and your organization.
- Termination: Your access to the Services can be terminated as outlined in any agreement between Thred and your organization. We also reserve the right to suspend or revoke your individual access if you breach these Terms.
- Effect of Termination: Upon termination of your access, your ability to use or access the Services will cease. Your organization may request the return or deletion of Customer Data, in accordance with its agreement with Thred and applicable laws.
8. Survival
Sections 5 (Data Handling and Privacy), 6 (Intellectual Property Rights), 9 (Warranty Disclaimers and Limitation of Liability), 10 (Indemnification), 11 (Confidentiality), 13 (Dispute Resolution), and 14 (Miscellaneous Legal Provisions) will survive the termination of your access to the Services.
9. Warranty Disclaimers and Limitation of Liability
- Warranty Disclaimer: The Services, along with all associated components and information, are provided on an "as is" and "as available" basis without any warranty of any kind. We explicitly disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement.
- Limitation of Liability: In no event shall our total aggregate liability to you or any third party arising from or relating to these Terms or your use of the Services exceed the amount your organization has paid to us for the Services in the six (6) months prior to the event giving rise to the claim. Additionally, we shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind arising out of or related to these Terms or your use of the Services.
- Third-Party Services Providers: Thred may use third-party service providers or subprocessors to deliver certain aspects of the Services. While we carefully select and monitor these providers, we cannot be held responsible for any failures or breaches on their part. You acknowledge and agree that Thred shall not be liable for the acts or omissions of these third-party service providers, except to the extent mandated by applicable law.
10. Indemnification
You agree to indemnify and hold us harmless from any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, that arise from or relate to your access to or use of the Services, your breach of these Terms, or your infringement of any third-party rights.
11. Confidentiality
- Definition: "Confidential Information" refers to any non-public information shared through the use of the Services by Thred, Users, or their organizations, which is either explicitly marked as confidential or should reasonably be understood as confidential based on the nature of the information and the context in which it is disclosed.
- Protection of Confidential Information: You agree to use reasonable care to protect the confidentiality of any Confidential Information you receive through the use of the Services.
12. Modification to the Service and Terms
We reserve the right to change these Terms or modify our Services at any time. We will make reasonable efforts to inform Users or their organizations of any significant changes. Your continued use of the Services following such modifications indicates your acceptance of the updated Terms or Services.
13. Dispute Resolution
Any dispute arising out of or related to these Terms or the Services will be addressed in accordance with any applicable agreement between Thred and your organization. If no such provisions exist, disputes will be conclusively resolved through binding arbitration in Seattle, Washington, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
14. Miscellaneous Legal Provisions
- Governing Law: These Terms are governed by and interpreted in accordance with the laws of the State of Washington, without regard to its conflict of law rules.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, it will be modified and interpreted to achieve its intended purpose to the fullest extent permitted by law, while the remaining provisions will continue in full force and effect.
- Assignment: You may not assign or transfer these Terms. We reserve the right to assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets, or to any affiliate or subsidiary.
- Notices: All notices under these Terms must be in writing and will be considered duly given when personally delivered or when email delivery is confirmed electronically.
- Waiver: A party's failure to enforce any right or provision under these Terms will not be considered a waiver of that right or provision.
- Force Majeure: We are not responsible for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, embargos, government actions, fires, floods, accidents, labor strikes, or shortages of transportation, fuel, energy, or materials.
